ASSOCIATION STATUTE OF

“ALBANIAN ASSOCIATION FOR COGNITIVE AND BEHAVIORAL PSYCHOTHERAPY”

 

CHAPTER I
GENERAL CLAUSE

Article 1

Today on 09.14.2015, in Tirana is found the Association, the full name of which is: ““SHOQATA SHQIPTARE PËR PSIKOTERAPINË KOGNITIVE BIHEJVIORALE” (Albanian Association for Cognitive and Behavioral Psychotherapies”, and shortly will be known as  “AACBT” refered on the document as “The Association”.

 

Article 2
Legal base

  1. The association will exercise its activity according to laws in power, concretely on the law No.8788, date 07.05.2001 “For nonprofit organizations” (changed), the law No.8789, date 07.05.2001 “For registration of nonprofit organizations”, the article 39 and following of Civil Code and this statute clauses to achieve   its goals.
  2. The association gains its legal character on the moment of registration on the Court of Legal Circle of Tirana.
  3. The association is a national organization, which will be member of “European Association for Cognitive and Behavioral Psychotherapies”, with offices in Tirana, street “Paris Commune”, Kika  3 Builldings, entrance no.1, 6/443, Tirana.  The association is founded in compatibility with the statute of  European Association for Cognitive and Behavioral Psychotherapies “EABCT”

 

Article 3
Legal status

  1. Albanian Association for Cognitive and Behavioral Psychotherapies”, for short AACBT is founded on free will by a group of members and is a nonprofit organisation.
  2. It is a on governal organisation, indipendent by any party or political organisation and has fredom and authonomy of action acording to the laws in power, Foundation Act, its Statute and its regulation.
  3. Its founding members ar 5 (five) natural persons with the following identity:
  • Marta Bej, doughter of Thoma and Eva, born in Tirana, on 18.11.1975 , resident in Tirana, street “Mihal Popi”, zone “1 May”, building No.9, entrance No.2, apartament  No.5, Postal Code 1022, holder of identity card no. 030771395.
  • Etel Turtulli, doughter of Dhimiter and Meshtane, born in Elbasan, on 10.05.1982, resident in Tirana, street “Asim Zeneli”, building No.8, holder of identity card no. 029404279.
  • Michael Zivor, son of Yoram Sievor, born on 30.11.1972, birthplace and resident in Israel,  19 Hayamim Squear, identified by passport with No. 12254651.
  • Moshe Landsman, son of Shmuel, born on 22.07.1949, in New York, and resident in Israel,  identified by passport with No. 430360555.
  • Skerdi Zahaj, son of Yzeir, born on 18.07.1987, in Tirana, resident in Tirana, street “Grigor Heba”, building “Been” 5/3, identified by identity card No. 031342376.
  • Fatlinda Tahiri, doughter of Burhan, born on 01.05.1982, born in Tirana, street Komuna e  Parisit, building “ Solued”, No.2 appartment 4/3, holder of identity card No.  I2550123R.
  • Katerina Stefani, doughter of Piro, born on 13.11.1981, in Berat, resident in Tirana, street “Stavro Vinjau”, building No. 2, entrance No 1, Apartament No. 8, holder of identity card No. I16113120J.

All in full legal age, fully able to hold and act by juridical rights.

 

Article 4
Activity and goals of the association

The association is founded with the purpose to:

  1. Develop and grow up (educating and training) the profession of Cognitive Behavioral Psychotherapist in Albania.
  2. Supervising and offering professional aid to develop psychotherapeutic based services on the community.

 

The association:

  • Offers professional trainings and education for professionals on Cognitive Behavioral Therapy.
  • Composes the ethical code in compatibility with the international code of the regulation for professional rights of the psychotherapists, composes the standards and criteria for giving the national certificate for Cognitive Behavioral Therapy according to known international standards.
  • Collaborates and coordinates with similar national and international associations.
  • Gives license to practice Cognitive Behavioral Therapy for professionals that completed the proper training according to international standards and criteria.
  •  Offers professional aid, training members and followers form different schools of psychotherapy.
  • Keeps correspondence with similar associations all over the world.
  • Stimulates and composes regulation, standards and ethical code of Albanian Cognitive Behavioral therapists according to the international one.
  • Organizes events with other local and international organizations to affirm, develop and grow up psychotherapy and professional aid on mental health.
  • Organizes   seminars, training, workshops and holds congresses on the field of psychotherapy.
  • In collaboration with international organization does the accreditation of psychotherapists according the modalities and directions, accomplished education on Cognitive Behavioral and asks for legalization from Albanian authorities.
  • Gives supervision and offers services for psychotherapists and other professionals in the community.
  • Provides funds and other donations according to goals and tasks foreseen in the statute.
  • Does professional exchange with different modalities of Cognitive Behavioral Psychotherapy of international and European associations toward qualification, education, training and supervising psychotherapists trained by it.
  • Writes standards for training and qualification of psychotherapists in Albania according to the criteria of EACBT.
    1. For realization of its goal, the association will collaborate with similar organization in Albania and worldwide.
    2. The association will have no political goals.

 

Article 5
Principles

The association exercises its activity guaranteeing:

  1. To respect the rights of association members without differentiation about politics, economics, social, philosophical or religious views.
  2. To respect associations autonomy, encouraging collaborative values between other associations working on this field.
  3. To respect juridical norms in power in the Republic of Albania, and respecting the statute of the association and every other act it relies on.
  4. Nondiscrimination for causes like: race, color, sex, age, political views, nationality, religion and every other cause that violates individual rights to be part of collective organizations.

 

Article 6
Association seat

Association seat will be in Tirana, street “Paris Commune”, Kika  3 Builldings, entrance no.1, garage 6/443.

 

Article 7
Lifespan of the association

  1. The association will provide its services with no limits of time.
  2. The association will start its activity on the date all its members will sign The Foundation Act of this association.

 

Article 8
Association structure

  1. The association is organized like a open organization.
  2. The membership in the association is done according to the standards and criteria  of EACBT

 

Article 9
The logo

The association has  head letter and a logo with the scripture AACBT, which has been approved by its founding members, according to the law, a seal and every other tool needed for its activity.

 

Article 10
The seal

The association has its seal here included with the statute, which will attend every other act of its.

 

 

CHAPTER II

MANAGEMENT STRUCTURES OF THE ASSOCIATION

 

Article 11
Management body of the association

1. Management body of the association is:

  1. General Assembly of Association Members.
  2.  Executive Council.
  3. Chairman of the Association.
  4.  Vice-chairman.
  5. Secretary.

Chairman of the association is Mrs. Marta Bej, which is authorized to follow on her name all the necessary procedures for registration of this nonprofit organization and for legal representing of the association with third parts. Members of Executive Council are: Vice-chairman Mrs. Etel Turtulli, and Secretary of the association is Mr. Skerdi Zahaj.

 

Article 12
General Assembly of Association Members

  1. General Assembly of Association Members is the highest decision making body of the association in which take part all of its members.
  2. General Assembly of Association Members is called by Executive Council, or by request of 1/5 of association members.
  3. General Assembly of Association Members is gathered once a year, on date and place decided by the previous Assembly gathering, or by request of 1/5 of association members.
  4. The decisions are being made by the simple majority of voting members, with hided voting.

 

Article 13
Competences of General Assembly of Association

  1. General Assembly of Association decides;
  1. For changing Association Statute.
  2. Defines internal regulation for the activity of the association.
  3. Defines fields and programs for the activity of the association.
  4. Monitors and controls periodically task realization and management of the association.
  5. Every five years elects Executive Council, Chairman and other of its representative.
  6. Approves annual report of association work.
  7. Exams and approves the activity of the Chairman, approves the budget and expenses for the successive year.
  8.  Monitors how this statute is applied and respected.
  9. Monitors events organized by the association.
  10. Elects and dismisses the Chairman.
  11. Elects and dismisses the Vice-chairman.
  12. Elects the Secretary of the association.
  13. Gives disciplinary measures for association members.
  1. General Assembly of Association takes decisions by hided voting.
  2. The decisions are called valid only if they are voted by more than half of present members.
  3. General Assembly decides for union or division of the association, if the association is being putted in such situation.

 

Article 14
Executive Council

  1. Executive Council of the association is elected every five years with hided voting by General Assembly of the Members of the Associations.
  2. Executive Council is a collegial body. Its members are five.
  3. Executive Council of the association elects the Chairman of Executive Council, Vice-chairman, Secretary, and a person responsible for the finances.
  4. Meetings of Executive Council are periodic, every member is invited to take part and ½ is mandatory.
  5. Decisions are made by simple majority of voting members present in the meeting.
  6. In case of parity, the vote of the Chairman is decisive in decision making.
  7. Work of Executive Council is monitored periodically by the chairmanship thru written reports once every three months the Council writes.

 

Article 15
Competences of Executive Council

  1. Prepares annual project-program for the association activities and presents it for approval to the General Assembly of the Members.
  2. Approves the annual report of the task realization of the association.
  3. Decides the way for the income of the association to be realized.
  4. Decides if changes need to be made in internal regulation.
  5. Exams and decides for proposals to be made in different organizations on purpose to collaborate and reciprocal help, for alleviating activity and goal realization.
  6. Employment of individuals according to laws in power in the Republic of Albania.
  7. Calls routine and extraordinary meetings of the association.

 

Article 16
The Chairman

The Chairman has these competencies:

  1. Manages the activity of the association according to the statute.
  2. Manages the budget according to the way Executive Council has decided.
  3. Starts relationships with other associations and legally represents the association in relations with third parts.
  4. Takes care for the interest of the association.

 

Article 17
Election and mandate of the chairman

  1. The Chairman is elected by the General Assembly of the Members on a routine meeting that is  hold the first Monday of May every year.
  2. The candidate for Chairman is proposed by at least 1/3 of members of the association.
  3. The Chairman is elected ever 5 years with vote majority and with the right to be reelected without limitation.
  4. During the voting for the Chairman is not allowed to abstain.

 

Article 18
Ending mandate of the Chairman

The mandate of the Chairman in finished when:

  1. The mandate is in its term.
  2. He/she gives resignation.
  3. He/she is dismissed from General Assembly of the Members.

 

Article 19
Dismissal of the Chairman

  1.  Every member has the right to ask for Chairman dismissal.
  2. One member can’t ask more than once (1 time) a year for the chairman dismissal.
  3. General Assembly of Members  decides for dismissal of the Chairman of the association in case it observes that he/she:
  1. Has not accomplished tasks predicted in this statute.
  2. Has acted or behaved in a way that ruins the reputation of the Chairman of the association.
  3. Has violated juridical acts in power in the Republic of Albania or the Statute of the Association.
  4. Has misused his/her tasks.
  5. Has behaved clearly against the ethical norms of the Association.
  6. Has behaved in a way that damages Association interests.

5.   The Chairman has to be notified if a procedure for his/her dismissal is being started.

6.   The decision for the dismissal of the Chairman has to be well motivated and is taken only after he/she has heard first.

 

Article 20
Vice-chairman

  1. Vice-chairman is elected by the General Meeting with simple majority   and with proposal of the Chairman.
  2. Vice-chairman mandate has the same duration as the Chairman’s.
  3. With Chairman proposal, the vice-chairman is dismissed by the General Assembly of Members.

 

Article 21
Departments

  1. The association as 3(three) departments:

a) Project Department

b) Intern Organization and Public Relations Department

c) Economic Department

  1. Every department is made by the Director and 4 (four) members.
  2. Department Directors are selected after have deposited  a request and application near Executive  Council, which in the General Meeting  presents opening of the election for Management Body of Departments.
  3. Directors of Departments are dismissed by Executive Council with proposal of  the Chairman of the Council, only in case of violation, lack of motivation, involvement and non fulfilling tasks. For this fact and arguments are presented in the General Meeting, which makes the approval.
  4. Each of the Department Directors chooses 4 members that will take part on the team work of the Department, which is approved by the Executive Council.
  5. The Director of the Department coordinates the work to be done according to the tasks of each Department.
  6. The Director of the Department gives proposals and ideas to be approved in the Chairmanship meeting.

 

Article 22
Project Department

  1. Examines ideas or project-proposals for qualification of candidates under education and training, by other Departments or other members of the Association,
  2. Organizes fully and in details the project-proposals, and foresees spaces to realize every project.
  3. Presents the project-proposals in General Meetings which are approved by the Chairman.
  4. Manages and monitors every organizational element and project realization.
  5. In collaboration with Economic Department foresees the budget and organizes the expenses.

 

Article 23
Intern Organization and Public Relations Department

  1. Examines the requests of individuals that want to be members of the Association and presents them to the Chairman.
  2. Examines the requests and complains of the members and presents them to the Chairman.
  3. Takes care about the periodical updates of the web page of the Association.
  4. Keeps frequent contacts with similar organizations, private or public.

 

Article 24
Economic Department

  1. Organize and manages financial resources.
  2. In collaboration with Project Department works for finding new financial resources and proposes to the chairmanship.
  3. Makes detailed report of expenses and financial status every 6 months during Chairmanship meeting. 
  4. Gives report at every moment about the financial status.

 

Article 25
The Secretary

  1. Secretary of the Association is responsible for keeping verbal-notes of the meetings made by Executive Council and General Assembly of the Members.
  2. The candidate for Secretary is proposed by members of Association or members of Executive Council.
  3. The Secretary of Association is elected by simple majority of members vote present in the meeting made for this purpose.
  4. The Secretary stays on this task for one year with the right of reelection without limitation.
  5. The Secretary gives notice to the members of Association and members of Executive Council about the date and time when meetings take place, and for every of other change about the activities of the Association.

 

Article 26
Ending the Secretary mandate

  1. The mandate of the Secretary ends when:
  1. Does not fulfill his/her tasks.
  2. Has acted or behaved clearly against the Statute and Internal Regulation of the Association.
  3. A disciplinary note was given by General Assembly of the Members,
  4. Has behaved clearly against the ethical norms of the Association.
  5. Has behaved in a way that damages Association interests.
  1. Every member of the Association has the right to complain near the Chairman of the Association in the case of not fulfilling one of conditions foreseen in Paragraph 1 of this Article.
  2. The Chairman, after hearing the Secretary of the Association, decides about ending or not his/her mandate.
  3. In case of ending mandate of the Secretary, in the next meeting, members of the Association elect the new Secretary with simple majority votes of members present in the meeting hold for this purpose.

 

CHAPTER  III

MEMBERS OF ASSOCIATION

 

Article 27
Membership of the Association

  1. Every member must deposit a contribution of 5000 (five thousand) Lek every year to the Association.
  2. Members of the Association are accepted without distinction of conviction, race, sex, age, nationality, religion or faith, by only acting in the name of the Association, accepting the program and it’s Statute.
  3. The approval of Association membership request is made by General Assembly of Members.
  4. The membership on the Association may be:
  • Individual membership
  • Organizational membership
  • Honorific membership

The Association must have at least one foreigner member.

  1. Membership on the Association is open for professionals from human, health and social sciences, without taking in consideration about race, gender, sexual orientation, citizenship, nationality, faith, age or physical ability.
  2. Individual member may be: a) full member, b) candidate member, c) associative member
  3. Full member may be a person that has accomplished training according to criteria and foreseen standards of Association, which has signed the Ethical Code and has paid annual membership. A full member has the right to vote.
  4. Candidate member may be the person that yet hasn’t accomplished or is on training period, is on the Association register as candidate member, has paid candidate membership, but has no right to vote.
  5. Associative members may be all therapists, accredited by other therapy schools, and every other person that shows interest to promote Cognitive Behavioral Therapy and express will to be members of this Association. These members have to pay membership as associative members.
  6. Organizational membership may be modalities or other schools which in their work has Cognitive Behavioral Therapy, where at least one of their members should be full member of this Association and take part on its meetings regularly.
  7. Honorific membership may be every person that by their contribution has made great impact on development and growing up this Association. Their names are in the Association register. These persons are free of membership charge.

4.     Membership is   been made by a membership request. In the membership request near the Association is defined:

a) Date membership

b) A declaration where the seeker accords to act in compliance with the law, Statute and other Association rules.

5.     Every member is registered in on the Association registry.

       6.    Membership in the Association is considered realized only after General Assembly

Of Members has given its approval.   

 

Article 28
Membership procedures

  1. Request for membership is made near Public Relation Department.
  2. Person that asks for membership has to:
    1. Sign a document in which clearly expresses his knowledge about rights and obligations as member of Association.
    2. Give a copy of identity card ore passport.
  3. Public Relation Department, after verifying all documentation, approves the request and sends it to the Chairman of the association, which gives the membership card.
  4. In the end of the procedures of membership, Public Relation Department sends to Executive Council all files of new members, for being archived.

 

Article 29
Membership rights

Members of Association have right:

  1. To be equipped with membership card;
  2. To take part in administrative structures of the Association and different activities attended by it.
  3. To propose projects for good organization and good functioning  of the Association;
  4. To be informed in every moment for composition of Association organs and organized or to be made activities.
  5. To complain the decision of the Chairman, Executive Council, and Public Relation Department, according to procedures foreseen in this Statute.

 

Article 30
Membership obligations

Association members have:

  1. To respect juridical act of the Association;
  2. To respect all the dispositions foreseen in this statute;
  3. To respect and execute every decision of Association organisms, which activity is foreseen in this statute;
  4. To respect the most important dispositions foreseen in this statute;
  5. To take part on realization of the Association goals;
  6. To take care that by his/her attitude does not damage Association activity.

 

Article 31
Complains about Chairman’s decisions

  1. Every member of the Association has the right to complain about decisions made by the Chairman of the Association.
  2. Complains are deposited near the Chairman of Executive Council of the Association.
  3. Complain must include:
  1. Name and surname of the complainer;
  2. Copy of membership card;
  3. Statuary bases for complaining;
  4. A copy of the decision being complained;
  5. Reason for complaining.
  1. Executive Council of the Association calls a extraordinary meeting of General Assembly of Members within 10 days from the date of deposition of complain.
  2. On the extraordinary meeting is called the authority which has made the decision being complained and are heard the defense argumentation prepared by it.
  3.  General Assembly of Members, with well argumentation decision, may:
  • Dismiss the complain;
  • Abrogate partly the decision if this is possible and without losing its sense;
  • Abrogate entirely the decision.

 

Article 32
Losing the right of membership of the Association

Membership of the Association gets lost when the member:

  1. Goes away on free will;
  2. Is excluded from the Association after a disciplinary procedure;
  3. Clearly behaves against ethical norms of the Association.
  4. Clearly behave in a way that damages the Association interests.
  5. Does not pay membership fee, after receiving written warning from the Association.

 

 

Article 33
Disciplinary procedures toward members of the Association

  1.  Chairman of the Association, members of Executive Council or other members have the right to ask for starting a disciplinary procedure toward Association members.
  2. Executive Council  gives a disciplinary  measure toward a member if in the end of the disciplinary procedure  is noticed that:
  1. The member haven’t fulfilled the obligations foreseen in this Statute;
  2. Talks in the name of Association for economical and political profits.
  1. Disciplinary measures given by Executive Council are:
  1. Remark;
  2. Temporary exclusion from the Association;
  3.  Exclusion from the Association;
  1. Decisions in Executive Council are made by simple majority.
  2. Decision of the Executive Council should be in proportion with the noticed violation.
  3. To the member must previously be given a warning to let him know that a disciplinary procedure it starting toward him.
  4. The decision for exclusion of a member of the Association needs argumentation, and is given only after this member has been heard previously.

 

Article 34
Voting and representation

  1. Every member of the Association has the right of an equal vote for issues brought to voting in General Assembly of Members.
  2. The right of membership in the Association can’t be alienated and can’t be inherited.

 

Article 36
Resignation

 

  1. The right to resign is guaranteed, but with the condition  to be presented  writing three months ahead, in one of managing organisms of the Association.

 

CHAPTER IV

ASSOCIATION FUNDING

 

Article 37
Funding resources

1.   Funding resources:

  1. Donations of members or other natural individuals;
  2. Funding by organization or agencies known by law.

2.   The Association has the right to have ownership of movable or real estate, to realize income through administration of these properties, and through exercising other activities, according to the law and the its purpose, foreseen in this statute.

3.  The realized income by Association must be used only for realization of activities foreseen on the purpose and goals written on this statute.

 

Article 38
 

The association has forbidden distributing incomes between its members.

 

Article 39
Distribution of Association

1. The association is distributed with its initiative when this is asked by more than ¾ of the members in General Assembly of Members.

2. In this case General Assembly of Members sets one ore some of its members to liquidate the Association.

3. General Assembly of Members decides for the destination of its remaining assets.

 

Article 40

When the closure of the Association isn’t achieved by the Association itself, The Court will assign one ore some liquidators to end the liquidation.

 

Article 41
Liquidation

1.  The liquidator evaluates the financial status of Association and its assets in the moment of decision for its distribution, and highlights all of its possible creditors and debtors.

2. After paying obligations the Association may have toward third parts, the liquidator evaluates the remaining assets and takes care that these assets goes according the destination General Assembly of Members has decided.

 

Article 42
Administration

 

1.  Executive Council determines one fiscal year for the Association;

2. Forbids distribution of income between members of Association;

3. Observes correct administration of actives and passives of Association and provides that standard procedure of accountability, have been followed by which has the tasks to use funds, bill payment, incomes and expenses for Association activities.

 

CHAPTER V

ASSOCIATION ACTS AND ARCHIVE

 

Article 43
Archive

1.  The statute as every other act taken from Association structures, be they decisions, reports, complains, ore requests of members of Association are protocolled and after are being save in the Archive of Association, administered  by Executive Council.

2.  In any case, a copy of acts abovementioned must be send for protocol and archiving to the Secretary of Association too.

 

Article 44
Content of Association’s acts

1.  Before protocol and archiving, the member of Executive Council controls if the act has in its content:

  • The authority which gets the act;
  • Name and surname of representing authority that has taken the act;
  • Statuary base for retrieving the act;
  • Signature of representing authority  that has taken the act;
  • Association seal;
  • The reason, if is foreseen by this statute disposition.

2.  When the member of Executive Council finds that one of the elements mentioned in paragraph 1 of this article is missing, refuses registration and send it back to the authority for correcting the mistake.

 

Article 45
Access on Association acts

1. Association members, Chairman, members of Executive council, and members of Organizational Structures or helping ones, have the right to access, through a written request, free of charge on the statute and archived acts of Association.

2. The request must contain:

  1. Name and surname of the seeker;
  2. A copy of membership card;
  3. Request on act he/she is asking to access;

3.  Member of Executive Council, after checking on presented documents, makes a copy of the act requested and gives it to the seeker.

 

CHAPTER VI

FINAL DISPOSITIONS

 

Article 46
Changes on Association Statute

1.  Changes of the Statute are made by motivated request of at least 1/3 of members of Executive Council of Association.

2.  Request is deposited near the Chairman of Association.

3.  Chairman of Association calls in extraordinary meeting the General Assembly of Members within 10 (ten) days consecutive, from the day of deposition.

4.  Changes of statute a valid when are voted by at least 2/3 of members present on General meeting of association members.

 

Article 47

The statute is made in four copies with equal legal power and is signed regularly  association members.

 

Article 48
Entry in power

This statute enters in power in the moment of approval by association members.

Communication with foreigner citizen was bade through legal translator, known personally by me, the notary and accepted by parts, which translates from Albanian language into English and conversely signs the statute in my presence.
